This Disclaimer applies to Neunucleus Energy Corp (“NEC”), the Neunucleus Energy System (“NES”); Neunucleus System Open Platform (“NSOP”) “blockchain-secured integration layer”; PowerOnAir (“POA”) “SaaS real-time AI analytics & reporting”; AI Switching Engine “solar, grid, kinetic, or hybrid optimization, Plug-and-Play Retrofit”; and Neubec Nexus (“Neubec”) “central reporting & billing engine” (collectively, “we,” “us,” or the “Platform”). By accessing or using our websites, portals, dashboards, APIs, software, devices, and documentation (collectively, the “Services”), you agree to this Disclaimer.


1) Nature of Services (System, Not Energy)

  • We provide an energy-management system and AI-enabled analytics that help users monitor, forecast, optimize, bill, and reconcile energy usage.
  • We do not sell electricity or act as a licensed utility. Any electricity supply remains subject to the relevant utility/provider and applicable law.
  • Performance, savings, and results depend on site conditions, tariffs, hardware, user behavior, and third-party data. No outcome is guaranteed.

2) Information “As Is”; No Advice; No Reliance

  • All information, projections, dashboards, graphs, reports, and documents are provided “as is” and “as available.”
  • Content may include errors, delays, omissions, or inaccuracies, including those arising from third-party sources or AI/algorithmic outputs.
  • Nothing on the Platform constitutes legal, financial, tax, engineering, investment, or utility advice. You must obtain independent professional advice before making decisions.
  • To the maximum extent permitted by law, no representation or warranty (express or implied) is made regarding completeness, accuracy, merchantability, fitness for a particular purpose, or non-infringement.

3) AI & Predictive Analytics Limitations

  • Our analytics (including forecasts, optimizations, anomaly detection) are probabilistic. They may be wrong, incomplete, or unsuitable for your use case.
  • Users remain responsible for human oversight, validating results against billing-grade meters, and complying with applicable standards, codes, and laws.

4) User Self-Consumption & Models

  • The Platform is designed to support self-consumption and site-level optimization.
  • Any models, rules, dispatch schedules, or recommendations are toolsDecisions and actions are yours. You bear sole responsibility for outcomes, including costs, savings, and compliance.

5) Parties, Relationships & Independence

  • Parties interacting on or through the Platform may be direct or indirect, related or unrelated. Presence on the Platform does not create agency, partnership, fiduciary duty, utility status, or exclusive relationship.
  • Links to third parties, references to brands, meters, gateways, banks, financiers, installers, or integrators are for convenience only. We do not control and are not responsible for their acts, omissions, products, or services.

6) Identity, Privacy & Disclosures

  • We protect identities and data in accordance with applicable laws of relevant jurisdictions.
  • Disclosure of identity or information may occur only (i) with the client’s written permission, or (ii) where required by law, court order, regulator, or lawful process upon receipt of a valid written request.
  • We may pseudonymize or aggregate data for analytics, benchmarking, service improvement, or compliance. See our Privacy Policy for details.

7) Data Sources, Meters & Integrations

  • Data may originate from APIs, gateways, meters (e.g., Modbus/DLMS), inverters, BESS, and other third-party systems.
  • Unless expressly stated, metering is not automatically “billing-grade.” If you require billing-grade accuracy, you must procure appropriate hardware, calibration, and certification.

8) Prohibited Conduct

You agree not to:

  • Misuse, manipulate, falsify, or tamper with data, meters, devices, or logs.
  • Divert blame, spread disinformation, coercethreatenblackmail, or otherwise harass any party.
  • Undermine human rights or basic user rights, or attempt extortion or abuse.
  • Access without authorization, reverse-engineer, scrape, or circumvent security.
  • Use the Platform to violate any law, regulation, contract, or third-party right.
    We reserve all rights to suspend accessnotify authorities, and seek legal remedies.

9) Liability Cap & Exclusions

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, punitive, or consequential losses (including lost profits, revenue, data, or goodwill), even if advised of the possibility.
  • Our aggregate liability for any claim related to the Services is capped at the total fees you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
  • Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the minimum extent permitted by law.

10) Indemnity

You agree to defend, indemnify, and hold harmless NEC, NES, Neubec, and their officers, directors, employees, and affiliates from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Services;
  • Your breach of this Disclaimer or applicable law;
  • Your dispute with any third party, including tenants, landlords, installers, integrators, or financiers.

11) Dispute Resolution; Arbitration; Security for Costs

  • Any dispute shall be resolved by confidential, final, and binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules, seated in Singapore, in English, before one (1) arbitrator (or three, if required by the Rules).
  • The tribunal may order security for costs; we reserve the right to seek such an order.
  • Each party must advance or deposit its share of fees as required by the rules; failure to do so may result in a stay or dismissal of claims by the tribunal.
  • We may seek injunctive or equitable relief in any competent court to protect confidentiality, IP, data security, or to prevent misuse.
  • If expressly agreed in writing, parties may opt for another reputable arbitral institution, seat, or rules for international arbitration.

12) Compliance, Export & Sanctions

You are responsible for complying with all applicable laws, including energy, data protection, export control, and sanctions regimes relevant to your use and location.

13) Changes

We may update this Disclaimer from time to time. Updates take effect upon posting. Continued use constitutes acceptance.
